Hikal shareholders approve appointment of Sameer Hiremath as CMD

InGovern had opposed the appointment, while IiAS and SES have supported the resolution

The shareholders of Hikal said on Thursday (September 24, 2026) that its shareholders have approved the appointment of Sameer Hiremath as Chairman and Managing Director (CMD) of the Company for a five-year term.

The appointment was approved at Hikal’s 38th annual general meeting (AGM). Shareholders also approved the audited financial statements for FY26, the final dividend of 40 paise and the reappointment of Sarangan Suresh as executive director, it said in a BSE statement.

The resolution – ordinary resolution no 4 – 51.87 per cent of the total votes polled in favour, while was objected by 48.13 per cent of the votes cast.

Earlier proxy advisory firm InGovern Research Services has asked Hikal shareholders to vote against the appointment of Sameer Hiremath as CMD, citing governance concerns and lack of transparency. However, two other proxy advisory firms — Institutional Investor Advisory Services (IiAS) and Stakeholders Empowerment Services (SES) — have recommended that shareholders support the resolution.

Sameer Hiremath has been associated with Hikal’s board since May 1999 and was last reappointed as Managing Director at the company’s 2021 AGM. His continued association with the company spans almost three decades, during which Hikal has expanded its capabilities across pharmaceuticals, crop protection and emerging life-sciences businesses.

“FY26 was a year of resilience, disciplined execution and capability building for Hikal. We strengthened our core businesses while making focused investments in high-value capabilities, including complex chemistries, HPAPI, CDMO and advanced R&D infrastructure,” Hiremath said.

“As we move forward, our focus will remain on strengthening our core businesses, accelerating our diversification into new geographies and growing our emerging business verticals like Animal Health and Specialty Chemicals which include Personal Care. Under the current plan, we have healthy cash flows and strong financials allowing us to focus on deepening customer partnerships and continuing to invest in technology, quality and manufacturing excellence,” he added.

Hikal had sought shareholders’ approval for the appointment of Sameer Hiremath as CMD for a five-year period from October 1, 2026, to September 30, 2031.
